These Terms of Service ("Terms") govern your use of our website located at www.wayindia.com and our software development services. Your use of our services constitutes your agreement to these Terms.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.

2. Our Services

Wayindia Software Solution Pvt. Ltd. provides comprehensive software development services, including but not limited to:

  • Mobile application development (iOS and Android)
  • Web application development and design
  • UI/UX design services
  • AI/ML solution development
  • Cloud solutions and infrastructure
  • Digital marketing services
  • Consulting and technical support

All services are provided subject to the terms and conditions outlined in individual service agreements or project contracts. The scope, timeline, and deliverables for each project will be defined in separate project-specific agreements.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3. User Obligations

As a user of our services, you agree to:

  • Provide accurate, current, and complete information when engaging our services
  • Maintain the confidentiality of any login credentials or access codes
  • Use our services only for lawful purposes and in accordance with these Terms
  • Not attempt to gain unauthorized access to our systems or networks
  • Not interfere with or disrupt our services or servers
  • Not use our services to transmit harmful or malicious code
  • Respect intellectual property rights and not infringe upon them
  • Comply with all applicable laws and regulations

You are responsible for all activities that occur under your account and for maintaining the security of your account information.

4. Intellectual Property

Our Intellectual Property

All content, trademarks, logos, and intellectual property displayed on our website and used in our services are the property of Wayindia Software Solution Pvt. Ltd. or our licensors. This includes but is not limited to:

  • Brand names, logos, and marketing materials

Client Intellectual Property

We respect your intellectual property rights. Any pre-existing intellectual property you provide to us remains your property. We will not claim ownership of your proprietary information, trademarks, or copyrighted materials.

Work Product

Unless otherwise specified in a separate agreement, all work product created specifically for your project will be transferred to you upon full payment of all fees. This includes custom software, designs, and documentation developed exclusively for your project.

5. Payment Terms

Payment terms for our services are as follows:

  • Project-based Services: Payment schedules will be defined in individual project agreements, typically including milestone-based payments
  • Hourly Services: Invoiced monthly or as agreed upon in the service agreement
  • Payment Methods: We accept bank transfers, checks, and other agreed-upon payment methods
  • Late Payments: Late payments may incur additional charges as specified in the service agreement
  • Currency: All payments are in Indian Rupees (INR) unless otherwise specified

All prices are exclusive of applicable taxes. You are responsible for any taxes, duties, or fees imposed by your jurisdiction.

We reserve the right to suspend services for non-payment after providing appropriate notice as specified in the service agreement.

6. Refund Policy

Refund Policy For Software Project Development

A partial refund can be made case to case basis, within 30 days from the date of payment, and if the case meet the following conditions, we may initiate the refund process:

  • Software Development/operations has not yet started
  • You have not violated our payment terms

After we mutually agree to go ahead for the refund, a refund agreement will be signed. The refund may take 7-10 business days to process, after the date of signing of the refund agreement.

Currency and Exchange Considerations:

You will be refunded in the currency you were charged in. If this is not your native currency, your bank may charge exchange fees, or a change in the exchange rate may have resulted in a difference in the amount refunded compared to the amount you originally paid (in your native currency). It is solely your responsibility if you have to pay any fees or bear any losses in this refund process.

7. Project Delivery

Project delivery terms include:

  • Timeline: Project timelines will be established in the project agreement and are subject to client cooperation and timely feedback
  • Deliverables: All deliverables will be specified in the project agreement and delivered according to the agreed schedule
  • Revisions: A reasonable number of revisions are included in the project scope as defined in the agreement
  • Acceptance: Client acceptance of deliverables must be provided within the timeframe specified in the agreement
  • Support: Post-delivery support terms will be outlined in the project agreement

Delays caused by factors beyond our control, including but not limited to client delays in providing feedback or required materials, may result in project timeline adjustments.

8. Warranties & Disclaimers

Service Warranties

We warrant that our services will be performed in a professional manner consistent with industry standards. However, we make no warranties regarding:

  • The uninterrupted or error-free operation of our services
  • The compatibility of our solutions with all systems or platforms
  • The achievement of specific business results or outcomes
  • Third-party software, services, or integrations

Disclaimers

Our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our website or services will be available at all times or free from errors, viruses, or other harmful components.

9. Limitation of Liability

To the maximum extent permitted by law, Wayindia Software Solution Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption or downtime
  • Cost of substitute services
  • Third-party claims or damages

Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for the specific services giving rise to the claim.

This limitation of liability applies regardless of the legal theory on which the claim is based, whether in contract, tort, or otherwise.

10. Termination

Either party may terminate a service agreement under the following circumstances:

  • Mutual Agreement: By mutual written consent of both parties
  • Breach of Terms: If either party materially breaches these Terms or the service agreement
  • Non-payment: If payment obligations are not met as specified in the agreement
  • Convenience: As specified in the individual service agreement

Upon termination:

  • All outstanding payments become immediately due
  • Each party shall return or destroy confidential information
  • Work product completed up to the termination date will be delivered as specified in the agreement
  • Survival clauses regarding confidentiality and intellectual property will remain in effect

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any disputes arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Bhubaneswar, Odisha, India.

Before pursuing legal action, both parties agree to attempt to resolve disputes through good faith negotiations and, if necessary, through mediation or arbitration as specified in the service agreement.
